Full Description
In 2024, Samjong KPMG advised on the sale of a 90% stake in Foodallmarket, a company founded jointly by nine individual shareholders, to Keistone Partners.
The company was Korea's largest independent foodservice distributor, with revenue of KRW 207.5 billion and EBITDA of KRW 9.7 billion. While Korea's foodservice distribution market had historically been led by a large number of small regional distributors, it was expected to consolidate around companies with advanced systems and the ability to anticipate market needs through data analytics. The process was therefore designed around a clear thesis: the company should be acquired and scaled further by a strong investor capable of reinforcing its industry-leading position.
Samjong KPMG brought in Keistone Partners — an investor with deep understanding and extensive experience in the F&B sector — and emphasized that the transaction offered both a well-founded exit for the majority of shareholders and a better future exit for those remaining invested. Continuously persuading the nine shareholders, each with differing needs, on the rationale and timing of the sale, Samjong KPMG ran a fast-paced process under strict confidentiality and successfully closed the transaction at KRW 71.7 billion for a 90% stake.
